YAADIL Terms of Service

Welcome to YAADIL. These Terms of Service (“Terms”) govern your access to and use of the YAADIL website, applications, software, platform, and services.
By accessing the YAADIL website, registering an account, starting a trial, subscribing to, or using any YAADIL product or service, you are deemed to have read, understood, and agreed to these Terms. If you do not agree with these Terms, you must cease using YAADIL services.
1. About YAADIL
YAADIL is a business management software platform designed to help businesses manage their operations digitally. YAADIL products and modules may include, but are not limited to:
Available products, modules, functions, and features may vary depending on the subscription plan, account type, or service version.
2. Definitions
In these Terms:
- “YAADIL”, “we”, “us”, or “our” refers to YAADIL owned and operated by Adimada Online Marketing (LA0054404-V).
- “Services” refers to the website, applications, software, modules, APIs, functions, and other services provided under the YAADIL brand.
- “User” or “you” refers to any individual, company, organization, employee, or representative who accesses or uses YAADIL.
- “Organization” refers to the company or business entity that holds an account on YAADIL.
- “Customer Data” refers to information, records, files, images, documents, or other data entered, uploaded, or stored by users through YAADIL.
3. Eligibility to Use YAADIL
By using YAADIL, you confirm that:
- you have the capacity to enter into a legally valid agreement;
- the information provided during registration is true and accurate;
- you use YAADIL for lawful purposes;
- if you are acting on behalf of an organization, you have the proper authority to do so; and
- your use of YAADIL does not violate applicable laws or regulations.
We reserve the right to refuse registration or access if there are reasonable grounds to do so.
4. Account Registration
Certain functions of YAADIL require a user account. When creating an account, you must provide accurate, complete, and up-to-date information. You are responsible for:
- maintaining the confidentiality of your password;
- protecting login credentials;
- ensuring the account email address and phone number are up to date;
- not granting access to unauthorized individuals; and
- notifying YAADIL if you suspect any unauthorized access has occurred.
You are responsible for activities carried out through your account by individuals whom you have authorized to use it.
5. Organization Accounts and Staff Users
YAADIL may allow organizations to add multiple users such as Owner, Administrator, Manager, Salesperson, Technician, Finance, Staff, or other roles provided by the system.
The owner or administrator of the organization is responsible for determining who has access to the organization’s account and the permission level of each user (viewing, adding, editing, deleting, exporting data, viewing reports, or managing users).
The organization is responsible for the actions of users who are lawfully granted access to that organization’s account.
6. Permitted Use
YAADIL must be used for legitimate business purposes. You are not permitted to use YAADIL for:
- unlawful or fraudulent activities;
- storing or distributing unlawful content;
- disrupting system operations or attempting to gain unauthorized access;
- bypassing security controls or testing system vulnerabilities without prior written consent;
- distributing viruses, malware, or harmful code, as well as conducting cyberattacks;
- conducting automated scraping or crawling without permission;
- performing reverse engineering except to the extent permitted by law;
- reselling YAADIL access without permission; impersonating another individual or organization;
- using the system for spam or consuming system resources excessively; or
- using YAADIL in any way that may cause harm or damage to YAADIL or other parties.
We reserve the right to restrict or suspend usage that violates these terms.
7. Customer Data
Data entered by you into YAADIL remains your or your organization’s data, subject to relevant third-party rights (including customer names, phone numbers, emails, addresses, leads, quotations, appointments, jobs, technicians, service reports, job photos, invoices, payment records, service history, notes, documents, and operational records).
YAADIL does not acquire ownership over Customer Data solely because such data is stored in the YAADIL platform.
You grant YAADIL the necessary permissions to store, process, back up, transmit, and handle Customer Data to the extent required to provide and operate the services.
8. Responsibility for Submitted Data
You are responsible for ensuring that you have the right, permission, or appropriate basis to collect, use, and enter Customer Data into YAADIL. You must not upload unlawfully obtained data, content that violates the rights of other parties, malware, or data prohibited by law.
YAADIL acts as a platform provider and is not responsible for determining the validity or legality of each piece of data entered by users.
9. Personal Data Protection
YAADIL takes reasonable steps to protect personal data processed through our services. How YAADIL collects, uses, stores, and processes personal data is explained further in the YAADIL Privacy Policy.
Organizations using YAADIL are also responsible for ensuring that the collection and use of customer, employee, and third-party data through their accounts comply with applicable laws.
10. Account Security
We may employ security measures such as authentication, access control, session management, logging, encryption, backups, monitoring, and other technical security measures according to system suitability and development.
However, no technology system or data transmission over the internet can be guaranteed completely free from security risks. Users are also responsible for practicing appropriate security measures.
11. Data Backups
YAADIL may perform data backups as part of system operations and recovery. However, users are responsible for keeping their own copies of data deemed critical when data export or copy features are provided.
YAADIL does not guarantee that every version or modification of data can be restored at all times.
12. Subscription Plans
YAADIL may provide free plans, free trials, early access, pilot programs, monthly plans, annual plans, user-based plans, module-based plans, custom plans, or Enterprise plans.
Each plan may differ in terms of functions, number of users, storage, transaction limits, automation, integrations, support, analytics, and other usage limits. Current details of any plan will be shown on the pricing page, quotation, invoice, checkout, or related documents.
13. Pricing and Payment
For paid services, you agree to pay the charges applicable to the selected plan or service (on a monthly, annual, one-off, or usage-based basis). Payments may be processed through third-party payment providers. You are responsible for ensuring that the payment method used is valid and has sufficient funds.
14. Taxes
Prices displayed may be subject to taxes or other statutory charges if required by law. If applicable taxes must be levied, YAADIL reserves the right to add them to the total payment amount payable.
15. Subscription Renewal
If a plan is offered with automatic renewal, relevant information will be stated during purchase or subscription. Subscriptions may be renewed according to the chosen period until canceled. If automatic renewal is not used, users must make manual payments to continue the subscription.
16. Price Changes
YAADIL may change product or plan prices from time to time. Price changes will not be applied retroactively to subscription periods already paid for. If changes affect active subscribers, we will endeavor to provide reasonable notice before new prices take effect for subsequent renewal periods.
17. Free Trial, Early Access and Pilot Programs
YAADIL may offer free trials, early access, or pilot programs. Services in this phase may not yet have all features, may undergo changes, have bugs or limitations, be modified before official launch, or be discontinued.
Features available in free trials or pilot programs are not necessarily included in all commercial plans in the future.
18. Subscription Cancellation
Users may cancel subscriptions according to methods provided by YAADIL. Unless stated otherwise, cancellation means the next renewal will not take place. Users can typically continue using paid features until the end of the paid period.
19. Refunds
Payments made are not automatically refundable. Refund requests will be considered based on the YAADIL Cancellation & Refund Policy, plan type, transaction circumstances, written agreements, and non-waivable statutory rights.
20. Payment Failures
If payment fails or becomes overdue, YAADIL may issue payment notices, restrict specific functions, suspend the subscription, downgrade the account to another plan, or terminate access to the service. Where reasonable, users will be given an opportunity to settle payments prior to termination.
21. Service Availability
YAADIL will make reasonable efforts to provide a stable and usable service. However, we do not guarantee that the service will operate without interruptions or errors at all times (due to maintenance, deployment, updates, bugs, hardware failures, internet/cloud disruptions, cyberattacks, or force majeure).
22. Maintenance and Updates
YAADIL may perform maintenance and updates from time to time to enhance performance, add features, fix bugs, improve security, or modify infrastructure. Where reasonable and practical, we will endeavor to minimize disruption to users.
23. Product and Feature Changes
YAADIL is a continuously developed product. We may add, change, refine workflows, interfaces, usage limits, introduce new modules, or discontinue certain functions. For material changes significantly impacting paid subscribers, we will endeavor to provide reasonable notice when appropriate.
24. Third-Party Integrations
YAADIL may integrate with third-party services such as payment gateways, WhatsApp, email, cloud storage, accounting platforms, APIs, analytics, mapping, and messaging services. Use of third-party services may be subject to the terms of those parties. YAADIL does not have full control over third-party operations.
25. Data Accuracy and Output
YAADIL provides tools to help users manage business operations. Users are responsible for verifying the accuracy of information and outputs such as quotations, invoices, pricing, commissions, taxes, reports, analytics, schedules, and payment/customer records.
Business decisions made based on YAADIL data remain the responsibility of the user.
26. Not Professional Advice
Information, reports, or functions provided by YAADIL should not be considered a substitute for professional advice such as accounting, auditing, taxation, legal, or financial advice. Users should seek professional advice when necessary.
27. Intellectual Property Rights
Except for Customer Data and third-party content, all rights related to YAADIL (including names, logos, branding, designs, user interfaces, source code, software, database structure, documentation, graphics, content, workflows, and product features) belong to Adimada Online Marketing or its respective licensors.
The use of YAADIL does not transfer ownership of such intellectual property to users.
28. License of Use
As long as your subscription or access rights remain active, YAADIL grants you a limited, non-exclusive, non-transferable, and terminable right to use the service for your internal business purposes. This right does not permit you to sell, copy, or commercialize the YAADIL system without written permission.
29. Feedback and Suggestions
Users may provide suggestions, ideas, or feedback regarding YAADIL. By providing such feedback, you permit YAADIL to use those suggestions or ideas to improve or develop products without obligation to pay compensation. Confidential business data is not considered feedback merely because it is provided through the platform.
30. Account Suspension
YAADIL may suspend an account if we have reasonable grounds to believe the account has been compromised, poses a security risk, has overdue payments, involves misuse, breaches these Terms, or engages in unlawful activities. For non-urgent issues, we will endeavor to give prior notice. For serious security risks, suspension may take place immediately.
31. Account Termination
Users may terminate accounts according to the methods provided. YAADIL may also terminate an account in the event of a material breach, fraud, unlawful activity, repeated abuse, failure to settle payments after notice, or where required by law.
32. Data Post-Termination
After an account is terminated, access to Customer Data may cease. Where such functionality is available, customers are encouraged to export their data prior to account closure. YAADIL may retain certain data if required for legal compliance, financial records, auditing, security, or dispute resolution.
33. Limitation of Liability
To the extent permitted by law, YAADIL and Adimada Online Marketing are not liable for indirect, incidental, special, or consequential losses arising from the use of or inability to use the service (including loss of profits, revenue, business opportunities, customers, productivity, goodwill, or data).
Nothing in these Terms is intended to exclude any rights, warranties, or liabilities that cannot be excluded or limited under Malaysian law.
34. User Responsibilities and Indemnity
To the extent permitted by law, users are responsible for claims or losses arising from the unlawful use of YAADIL, violation of these Terms, infringement of third-party rights, content/data entered by users, or misuse of the service.
35. Force Majeure
YAADIL is not liable for failures or delays resulting from circumstances beyond our reasonable control (natural disasters, floods, fires, epidemics, war, riots, government actions, electricity/telecommunications/internet disruptions, data center failures, or large-scale cyberattacks).
36. Communications with Users
By having a YAADIL account, you agree that we may send service-related communications such as account verification, security, password resets, invoices, payments, important service changes, maintenance, legal notices, and other operational messages. Marketing communications may be managed separately.
37. Third-Party Links
The YAADIL website or applications may contain links to third-party websites for user convenience. YAADIL is not responsible for the content, security, or practices of those third-party websites.
38. Changes to Terms of Use
YAADIL may update these Terms from time to time. The latest update date will be stated on this page. If changes are material to active subscribers, YAADIL may provide notice via email, application, dashboard, website, or other reasonable methods. Continued use is considered acceptance of the updated terms.
39. Severability of Terms
If any provision of these Terms is found to be invalid or unenforceable, the other provisions will continue in full force to the extent permitted by law.
40. No Waiver of Rights
The failure of YAADIL to enforce any right or provision in these Terms does not mean we have waived that right.
41. Transfer of Rights
Users may not transfer rights or obligations under these Terms without written consent from YAADIL. YAADIL may transfer its rights/obligations as part of a business reorganization, asset transfer, or other business transaction.
42. Entire Agreement
These Terms of Use shall be read together with other relevant YAADIL documents (including Privacy Policy, Cookie Policy, Cancellation & Refund Policy, subscription plans, quotations, order forms, Data Processing Agreements, and specific written agreements). In the event of a conflict with a specific written agreement, that specific agreement shall prevail.
43. Governing Law
These Terms of Use are governed by and construed in accordance with the laws of Malaysia. In the event of a dispute, both parties are encouraged to first attempt to resolve it amicably. If a resolution cannot be reached, the dispute may be referred to courts or forums having jurisdiction in Malaysia.
